Robert Half Finance & Accounting is looking for a Finance Manager in order to work in a company active in the finance sector situated in Luxembourg.

Our client is one of the world's leading private multi-asset alternative investment firms. The Luxembourg office was established in 2002 and currently has a team of seven people responsible for overseeing the entities that hold investments made by funds advised by the Group. The main purpose of the Luxembourg operation is to organise and facilitate the management and control of all Luxembourg holding companies. Members of the Luxembourg team are expected to work closely with the firm's external advisors which include lawyers, bankers, custodians and accounting and tax professionals.

The successful candidate will be responsible for the following tasks:

  • At a high level, protect the firm's interests by taking ownership of the compliance and tax aspects of Luxembourg holding companies. This includes
    - Being attuned to the changing regulatory and tax landscape in Europe and advising the firm how to amend and strengthen its processes accordingl
    - Understanding the requirements for maintaining our various tax structures and ensuring such requirements are met, including making sure regular board meetings and shareholder meetings are organized and held in Luxembourg, making sure detailed minutes are drafted and filed in the registered offices in Luxembourg and all documentary approval requirements complied with (including notices, agendas, papers, minutes, proxies and signatures
    - Making sure Board minutes adequately describe all the strategic decisions taken by the Luxembourg Board, paying particular attention to document and describe the commercial rationale for taking on debt in the underlying companies
    - Ensuring compliance with the firm Luxembourg Operational Procedures, as amended from time to time, and generally ensuring the Luxembourg holding companies comply with applicable "substance" requirement
    - Understanding 'beneficial ownership' challenges by other European tax administrations.
  • Actively interact with the firm Tax, Finance and Legal teams as well as external counsel, tax consultants and auditors. Make sure the firm gets value for money from its accountants, auditors, lawyers and manage the advisor costs efficiently
  • Build excellent working relationships with finance departments at the firm portfolio companies
  • Build a network with your peers at other firms to ensure the firm is aware of standard practices in Luxembourg and Europe
  • Understand fund flow deal documents and the Luxembourg financing instruments used in all the structures
  • Help internal Finance teams with creating appropriate waterfall mechanisms for any liquidity events like dividends, exits or refinancing
  • Execute the responsibilities of a company director according to lawful and ethical standards
  • Provide a "best practice" corporate governance service to shareholders, directors (board and committees) and other stakeholders, which includes, but is not limited to co-ordinating the documentation for the following:
    - dividend declarations
    - shares/issues and transfers/registers
    - change of directors
    - incorporation or dissolution of companies
    - PEC and/or CPEC issues or redemptions
  • Manage the timely filing of relevant documents with various companies registries, either directly or via external company secretarial service provider. Manage the timely filing of tax returns, any central bank returns and CbCR. Manage the timely preparation of accounts and audits as required
  • Lead, motivate and act as a role model for colleagues and administrators, incorporating regular formal and informal feedback sessions
  • Carry out other tasks that may be reasonably required from time to time

The required qualifications are :

  • Previous senior management experience
  • Strong knowledge of relevant legislation and regulatory framework in Luxembourg
  • Experience in the private equity industry with particular experience in fund administration and AIFM
  • Prior experience in dealing with 'substance' and 'beneficial ownership' queries from foreign tax authorities
  • A professional qualification, preferably a qualified accountant
  • Excellent command of and fluency in the English language, fluent French or German, Luxembourgish an advantage
  • Good understanding of high level technical tax, financial and legal matters
  • Ability to deal with complexity and excellent problem solving skills
  • Ability to work under pressure and meet tight deadlines
  • Strong organization and time management skills
  • Meticulous attention to detail with a focus on high quality output
  • Excellent verbal and written communication skills
  • Team player; eager to learn and work with others in a dynamic environment
